Terms of Service

These terms govern the use of haladir.com and the Nomos operator console provided by Haladir Inc. ("Haladir," "we"). Haladir currently works with customers under pilot agreements. If your organization has signed a pilot or service agreement with us, that agreement controls wherever it differs from these terms. By using the services you agree to these terms; if you use them on behalf of an organization, you confirm you may bind that organization.
1. The service
Haladir provides the Nomos operator console and related planning and optimization tools for warehouse and logistics operations. The service is under active development: features may be added, changed, or removed during a pilot. We will give customers reasonable notice of changes that materially affect their use.
2. Accounts
There is no self-serve sign-up. Accounts are created by invitation for a customer’s personnel. Keep your credentials to yourself, use your own account, and tell us promptly at access@haladir.com if you believe an account has been compromised. You are responsible for activity under your account.
3. Your data
Data that a customer or its users submit to or generate through the service ("Customer Data") belongs to the customer. You give us permission to host and process Customer Data solely to provide and support the service, to keep it secure, and as described in our Privacy Policy. We do not sell Customer Data and we do not use it for advertising.
The customer is responsible for having the right to share the data it connects to the service and for the accuracy of that data.
4. Acceptable use
Use the service for its intended purpose. Do not:
- break the law with it;
- probe, disrupt, or circumvent its security, or access it without authorization;
- share access with people outside the agreed pilot, or resell it;
- copy the service to build a competing product.
We may suspend access that violates this section, and will tell the customer when we do.
5. Recommendations, not guarantees
The console produces plans and recommendations for warehouse operations. Operators review and confirm decisions; the customer stays responsible for its operations. Verify outputs before relying on them, particularly for decisions with safety, contractual, or financial consequences.
6. Confidentiality
During a pilot, each side may learn non-public information about the other. Both sides agree to protect that information with reasonable care, use it only for the pilot, and not disclose it to others. This does not cover information that is public, already known, independently developed, or rightfully received from someone else.
7. Ending the pilot
Either side may end a pilot as set out in the pilot agreement, or, if it says nothing, with 30 days written notice. We may suspend access immediately if continued use poses a security risk or materially breaches these terms.
When a pilot ends, we will provide an export of Customer Data on request and delete the customer’s accounts and data within 60 days, as described in our Privacy Policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.
9. Limit on liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SIDE IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS. EACH SIDE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS IS CAPPED AT THE FEES PAID OR PAYABLE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE THOUSAND U.S. DOLLARS IF NO FEES HAVE BEEN PAID. THIS CAP DOES NOT APPLY TO A BREACH OF THE CONFIDENTIALITY SECTION OR TO MISUSE OF THE OTHER SIDE’S INTELLECTUAL PROPERTY.
10. Intellectual property
Haladir owns the service and everything in it other than Customer Data. Customers receive a non-exclusive, non-transferable right to use the service for their internal operations during the pilot. If you send us feedback, we may use it without restriction or obligation.
11. Governing law
These terms are governed by Delaware law. Disputes that cannot be resolved informally will be heard in the state or federal courts located in Delaware, and both sides consent to jurisdiction there.
12. Changes to these terms
When we change these terms, we will post the new version here and update the date at the top. For material changes, we will notify customers directly. Continued use after a change takes effect means acceptance.
